1.0 Introduction

These General Terms and Conditions (GTCs) govern the use of software products developed by Wordbee S.A.R.L. ("Wordbee"), including but not limited to Wordbee Translator, Wordbee Beebox, Wordbee Flex, and Wordbee Link (collectively referred to as "Software Products").

By using any of the Software Products, you agree to be bound by these GTCs.

 

2.0 License and Usage

2.1 License

Wordbee grants you a non-exclusive, non-transferable license to use the Software Products for language translation, project management, content localization, and related activities, subject to these GTCs.

2.2 Usage

You may use the Software Products exclusively for your internal business purposes. The following actions are strictly prohibited:

• Unauthorized distribution, modification, reverse engineering, or resale of the Software Products

• Any use that violates applicable laws or infringes on third-party rights

 

3.0 Account Creation & Security

3.1 Account

To access and use the Software Products, you must create an account on the Wordbee platform and provide accurate, up-to-date information.

You are solely responsible for maintaining the confidentiality of your account credentials and ensuring their security.

3.2 Security

You agree to take appropriate security measures to protect your account and promptly notify Wordbee of any unauthorized access or suspicious activity.

 

4.0 Support & Maintenance

4.1 Support

Wordbee will provide reasonable technical support for the Software Products during normal business hours, as described in the applicable support agreement or documentation.

4.2 Maintenance

Wordbee will make commercially reasonable efforts to maintain the Software Products and ensure their availability. However, periodic downtime may be required for maintenance and upgrades.

 

5.0 Intellectual Property

5.1 Ownership

All Software Products and associated intellectual property rights remain the sole property of Wordbee. These GTCs do not grant you any ownership rights over the Software Products.

5.2 Feedback

If you provide feedback, suggestions, or ideas regarding the Software Products, you grant Wordbee a non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into its products.

 

6.0 Privacy Policy

6.1 Data Collection

By using the Software Products, you acknowledge that Wordbee may collect and process certain data, including personal information, for the purpose of providing services and improving its products.

Wordbee will handle all data in accordance with its Privacy Policy.

6.2 Confidentiality

Wordbee will treat any content or information uploaded to or generated by the Software Products as confidential. Wordbee will not disclose such data to third parties, except as required by law or with your explicit consent, or in the case when Client is using built-in third-party systems including Machine Translation, OCR, term extraction or Large Language Models technologies.

6.3 Use of Third-Party AI and Language Models

Some features of our Services may utilize third-party large language models (“LLMs”) to enhance translation quality, help with parsing content, provide advanced linguistic suggestions or write draft messages. These LLMs are provided by reputable third-party providers and are integrated in a way that aims to ensure data security and privacy.

By using these features, you acknowledge and agree that certain data you input (such as text for translation or related context) may be processed by these third-party providers solely for the purpose of delivering the relevant functionality.

If you do not wish for your data to be processed through third-party LLMs, you may opt-out by contacting us at privacy@wordbee.com. Please note that opting out may limit or disable access to specific features that rely on such technologies.

 

7.0 Limitation of Liability

7.1 Disclaimer

The Software Products are provided "as is", without any warranties or conditions, whether express or implied.

Wordbee disclaims all liability for any damages or losses arising from the use or inability to use the Software Products.

7.2 Indirect Damages

Under no circumstances shall Wordbee be liable for any indirect, incidental, special, or consequential damages, including but not limited to:

• Loss of profits

• Loss of data

• Loss of business opportunities

 

8.0 Governing Law & Jurisdiction

These GTCs shall be governed by and construed in accordance with the laws of the jurisdiction where Wordbee S.A.R.L. is located.

Any disputes arising from these GTCs shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.
